1.1 合同主旨
The SELLR sells and the BUYER buys one Push Pickling Plant with Tank Farm (hereinafter referred to as the “PLANT”) according to the Technical Specification of Push Pickling Line and Tank Farm (see Appendix 1) including Engineering (design) and Supervision Services (see Appendix 4) for BUYERS fabrication at ***, Changshu Economic Development Zone, Jiangsu, Peoples Republic of China.
根据《推式酸洗线和罐区技术规范》（请参见附录1），包括相关工程（设计）和监理服务（请参见附录4），兹经买卖双方同意，由卖方出售和买方同意购进一部带有罐区的推式酸洗装置（以下简称“装置”），以便买方在****进行生产。
Within the consortium between AAG and ATC, AAG acts as consortium leader.

1.2 SCOPE OF SUPPLY

1.2.1 The scope of supply of the PLANT includes only those parts specifically described in the above mentioned Technical Specification. All other parts required for operation and the erection of the PLANT will be provided by the BUYER (see "Scope of supply lists and exclusions" in the Technical Specification, Appendix 1).
1.2.1装置的供货范围只包含上述《技术规范》中明确规定的部件。装置的运行和安装所需的所有其他部件都将由买方提供（请参见附录1《技术规范》中的“供货范围清单和除外事项”）。
1.2.2 The Scope of Supply of SELLER contains no transfer of intangible assets such as trade mark, know-how or patents.

2. PRICE BASIS

2.1 The Total Contract Price is based on the prices for materials, wages and salaries, prices for sub-supplies, freight tariffs and statutory obligations ruling In Australia and P.R. China on 25 May 0000.
2.1 合同总价的依据为材料价格、工资和薪水、二级供货价格、运费率以及0000年5月25日澳大利亚和中华人民共和国适用的法定税款。
2.2 The Total Contract Price is considered fixed within the time limits stated in the Contract, provided that the Contract becomes effective in accordance with article 9 and that the time schedule starts according to article 4.2.2 by 01 August 0000, at the latest. If the Contract has not become effective by this date and the time schedule has not started, the Parties shall proceed as set forth in article 9.www.en-ch.com
2.2 在本合同规定的时间范围内，合同总价被视为固定的，前提是本合同依照第9条至少在0000年8月1日前生效，而且时间表依照第4.2.2条至少在2006年8月1日前启用。如果本合同未在该日前生效而且时间表也未启用，则双方应依照第9条执行。
2.3 The “IMPORT PORTION” will be supplied by *** and delivered CFR Changshu Seaport *** or CPT Pudong/Hongqiao Airport according to INCOTERMS 2000. BUYER will import the equipment and is responsible for all customs duties, customs clearance and related items within P.R.China.
2.3 “进口部分”由***供应并依照《2000年国际贸易术语解释通则》按CFR条件（成本加运费）运至***常熟市海港，或按CPT条件（运费付至）运至上海浦东／虹桥国际机场。买方将进口设备并承担中华人民共和国境内的所有关税、结关及相关费用。
